A transfer letter is the employer's written order moving an employee to a new location, department or assignment. It should name the new place of work and reporting manager, the effective date, the dates to be relieved and to report, whether pay changes, the relocation support offered, and the contract clause or policy the transfer is made under.

How to write a transfer letter that holds up

Moving people between cities, offices and teams is routine for any Indian employer with more than one site. Most transfers go through without dispute. The ones that end up before a labour authority or court usually turn on three questions: did the employer have the right to transfer under the contract or standing orders, was the order made for a real business reason rather than to punish or push someone out, and was the employee told clearly what was expected and given reasonable time and support to move. A good transfer letter answers all three on paper.

The legal setting changed recently. The four labour codes came into force on 21 November 2025 [1], and the Industrial Relations Code, 2020 now governs standing orders [2]. On 8 May 2026 the Ministry of Labour and Employment notified Model Standing Orders, 2026. The services sector version requires every establishment to have a transfer policy made known to workers, and allows transfers between departments, stations and establishments of the same employer, subject to safeguards [3].

When can an employer transfer an employee?

The starting point is the employee's own terms. If the appointment letter says the employee's services are transferable to any office, unit or location of the company, a transfer under that clause is generally valid. In Divgi Metal Wares Ltd. v. Divgi Metal Wares Employees Association (2024 INSC 237), the Supreme Court upheld the transfer of 66 workmen from a factory in Karnataka to one in Maharashtra after orders fell, because their appointment orders said their services were transferable and the standing orders did not prohibit it. The Court followed its earlier decision in Cipla Ltd. v. Jayakumar R. (1999) [4].

If there is no transfer clause, or the employee is moved to a different employer such as a group company, the position is different. A move to another legal entity is not a transfer within the same employment. It usually needs the employee's consent and a new appointment, and it raises questions about continuity of service for gratuity and the transfer of PF accounts. Treat it as a separate exercise, not a routine transfer letter.

What every transfer letter needs

  1. Identification. Company name and address, a reference number, date of issue, and the employee's name, ID, current designation, department and location.
  2. The move itself. The new location or department, the new reporting manager, and the new designation if it changes. Say whether it is a transfer or a fixed-term deputation.
  3. Dates. The effective date on which the employee is relieved, the joining time allowed, and the date by which they must report. For a deputation, the end date and what happens after it.
  4. Authority and reason. The clause in the appointment letter or the transfer policy the order is made under, and a short business reason. This is your first evidence that the transfer is in good faith.
  5. Pay and terms. A clear statement that pay and other terms are unchanged, or which items change. City-linked allowances are the usual exception.
  6. Relocation support. What the company pays for: travel for the employee and family, packing and transport, temporary accommodation and any one-time allowance, with caps and the claim process.
  7. Handover and acknowledgement. A line asking the employee to hand over charge before relieving, and space for the employee to acknowledge receipt.

Transfer letter FAQ

What is a transfer letter?
A transfer letter is a written order from the employer that moves an employee to a different location, department or assignment. It names the new place of work, the effective date, the date to be relieved and to report, the new reporting manager, whether pay and terms change, and what relocation support the employer gives.
Can an employer in India transfer an employee to another city?
Usually yes, if the appointment letter or contract has a transfer clause and the transfer is made in good faith. In Divgi Metal Wares v. Divgi Metal Wares Employees Association (2024 INSC 237) the Supreme Court upheld the transfer of workmen from Karnataka to Maharashtra because their appointment orders said their services were transferable and the standing orders did not bar it.
What should a transfer letter include?
It should include the employee's name, ID and current post, the new location or department, the effective date, the date of relieving and the date to report, the new reporting manager, a statement on pay and other terms, the relocation support offered, the clause or policy the transfer is made under, and a line for the employee to acknowledge receipt.
Can an employee refuse a transfer?
An employee can raise a hardship request, and many transfer policies allow one. But where the contract has a transfer clause and the order is not mala fide, courts have generally upheld the transfer, and refusing to join can be treated as disobedience under the applicable standing orders. Employers should consider genuine hardship, record the reasons for the transfer and take legal advice before acting on a refusal.
Does salary change when an employee is transferred?
Basic pay usually stays the same unless the letter says otherwise, but city-linked items can change. Under the Income-tax Rules, 2026 the HRA exemption limit is 50% of salary in Delhi, Mumbai, Chennai, Kolkata, Bengaluru, Hyderabad, Pune and Ahmedabad and 40% elsewhere, for employees on the old regime. A move to another state also changes the professional tax and labour welfare fund rules that apply to payroll.
Is relocation allowance taxable in India?
It depends on what is paid. Under the Income-tax Act, 1961, Rule 2BB(1)(a) exempted an allowance granted to meet the cost of travel on transfer, to the extent actually spent, while a flat relocation bonus is taxable salary. For tax year 2026-27 under the Income-tax Act, 2025, confirm the equivalent provision in the Income-tax Rules, 2026 with your payroll team before treating any amount as exempt.
What is the difference between a transfer and a deputation?
A transfer moves the employee to a new location or department for an open-ended period, so the new post becomes their regular place of work. A deputation is a temporary assignment for a fixed period, often with a deputation allowance, after which the employee returns to the parent post. The Deputation tab of this tool drafts that letter with an end date.
Do the Model Standing Orders, 2026 say anything about transfers?
Yes. The Ministry of Labour and Employment notified Model Standing Orders, 2026 on 8 May 2026 under the Industrial Relations Code, 2020. The services sector version requires every establishment to have a transfer policy made known to workers, and allows transfers between departments, stations and establishments of the same employer, subject to safeguards.

This page is general information for HR teams, not legal or tax advice. Whether a transfer is valid depends on the employee's appointment terms, any certified or adopted standing orders, your transfer policy, state rules under the labour codes and the facts of the case.
