An appointment letter is the written record of employment terms that an employer gives each employee on joining. Since 21 November 2025, section 6 of the OSH Code makes it compulsory in covered establishments. It should state the name, designation, category of work, joining date, wages and wage period, probation, notice period, leave and social security details.

What Makes a Valid Appointment Letter in India?

An appointment letter is the formal employment contract between you and your employee. Unlike an offer letter (which is conditional on background checks and document verification), the appointment letter is issued on or before the date of joining and serves as the binding employment agreement. Since the labour codes took effect on 21 November 2025, section 6(1)(f) of the Occupational Safety, Health and Working Conditions Code, 2020 requires the employer to issue a letter of appointment to every employee, with the information and in the form the appropriate government prescribes. An employee who joined earlier without one must be given a letter within three months of the Code's commencement. The Code applies to establishments with ten or more workers, plus factories, mines and some other categories.

A missing or vague appointment letter can create serious problems in disciplinary proceedings, wrongful termination claims, and disputes over notice periods or compensation. Here is what every compliant Indian appointment letter must include.

Mandatory
Designation and Department
The exact job title and department. Vague titles like "Executive" without qualification have caused disputes. Be specific.
Mandatory
Date of Joining and Location
The precise joining date and primary workplace address. Include a transfer clause if the employee may be asked to relocate.
Mandatory (OSH Code)
Wages and Salary Structure
Wages, wage period and a CTC breakup. Under the Code on Wages, allowances left out of "wages" are capped at 50% of total pay; anything above that is added back for PF, gratuity and bonus.
Mandatory
Probation Period
Duration (typically 3 to 6 months), notice period during probation, and the conditions for confirmation or extension.
Strongly Recommended
Confidentiality Clause
Prohibits the employee from sharing proprietary information, client data, or trade secrets during and after employment.
Strongly Recommended
Intellectual Property
Assigns any work product, inventions, or code created during employment to the employer. Critical for tech and creative roles.
Standard
Leave Entitlement
Annual, sick and casual leave as per the applicable state Shops and Establishments Act and your policy. Many employers offer 18 to 24 days in total (market practice, not a legal figure).
Standard
Notice Period
Separate notice periods for during probation (15 to 30 days) and after confirmation (60 to 90 days) on either side.

Offer Letter vs. Appointment Letter: Key Differences

In India, "offer letter" and "appointment letter" are sometimes used interchangeably, but they are legally and practically distinct. The offer letter is sent after the hiring decision, typically before the candidate has resigned from their current job. It is conditional and may be withdrawn if background verification fails or documents are found to be fraudulent. The appointment letter is issued on or near the joining date and is the binding employment contract. If no appointment letter follows, the offer letter becomes the only written record of the terms, which is risky if it lacks key clauses. Since November 2025 it also leaves the employer short of the OSH Code requirement.

Probation Period Rules in India

No central law sets one probation period for every employee. For industrial establishments with 300 or more workers, the Industrial Relations Code, 2020 requires standing orders, and the model standing orders issued by the central government apply until certified ones are in place, so follow the probation clause there. The old Industrial Employment (Standing Orders) Act, 1946 was repealed by the Code. For everyone else, the appointment letter fixes the period, and 3 to 6 months is common practice. Always specify: the duration, the notice period during probation, how performance is assessed, and what happens if probation is extended.

Non-Compete Clauses: Are They Enforceable?

Indian courts have generally held that non-compete clauses that restrict an employee from working after resignation are not enforceable, as Section 27 of the Indian Contract Act 1872 renders void any agreement restraining trade or profession. Non-solicitation clauses (not poaching clients or colleagues) are treated more favorably. You can and should include a non-compete clause in your appointment letter, but be aware that post-termination enforcement through Indian courts is limited. Clauses that apply during employment (not to work for a competitor while employed) are enforceable.

How to write an appointment letter

  1. Check that the candidate accepted the offer and collect ID, address, education and previous employment documents.
  2. Enter the employee details, designation, department, work location and reporting manager.
  3. State the annual CTC and gross salary, the wage period, and PF and ESI coverage where it applies.
  4. Set the probation period, the notice period during and after probation, and the leave entitlement.
  5. Keep the confidentiality, IP and general terms, then print on letterhead and have an authorised signatory sign it.
  6. Hand it over on or before the joining date and file the copy the employee signs.

Which letter do I need?

  • Offer letter: sent when a candidate is selected. It proposes the role, CTC and joining date for the candidate to accept.
  • Appointment letter (this page): the written terms of employment given on joining. The OSH Code requires one for every employee.
  • Joining letter: records the date the employee actually reported for duty. It points back to the offer or appointment letter.
  • Confirmation letter: ends probation and states the notice period and terms that apply from then on.
Frequently Asked Questions
Is an appointment letter legally required in India?
Yes, in most workplaces. Section 6(1)(f) of the Occupational Safety, Health and Working Conditions Code, 2020, in force since 21 November 2025, requires the employer to issue a letter of appointment to every employee in a covered establishment (broadly, ten or more workers). Employees who joined earlier without one must be given a letter within three months of the Code's commencement. A signed letter also makes later disciplinary action and exits easier to defend.
What is the difference between an offer letter and an appointment letter?
An offer letter is sent when a candidate is selected. It proposes the role, pay and joining date, and is often conditional on document checks. An appointment letter is issued on or before the joining date and sets out the full terms: wages, probation, notice, leave, confidentiality and IP. Under the OSH Code the appointment letter is the one the law requires.
What should an appointment letter contain?
At minimum: employee name and address, designation and category of work, date of joining, place of work, wages and wage period with a salary breakup, probation period, notice period during and after probation, leave entitlement, PF and ESI coverage where applicable, and the signature of an authorised signatory. Confidentiality and IP clauses are strongly recommended.
How long should the probation period be?
No central law fixes one period for every employee. In practice 3 to 6 months is common. Industrial establishments with 300 or more workers must follow their certified or model standing orders under the Industrial Relations Code, 2020, which replaced the Industrial Employment (Standing Orders) Act, 1946. Extend probation only in writing, before it ends, with a new end date.
Can I include a non-compete clause in an appointment letter?
You can, but post-employment non-compete restrictions are generally not enforceable in India because Section 27 of the Indian Contract Act, 1872 makes agreements in restraint of trade void. Restrictions that apply while the person is employed, confidentiality clauses and IP assignment clauses are treated differently and should be included. Non-solicitation clauses are judged on their facts.
Should the appointment letter mention CTC or gross salary?
Mention both, with a breakup of basic, HRA, allowances, employer PF and gratuity, and give in-hand pay as an estimate before tax. Under section 2(y) of the Code on Wages, 2019, allowances excluded from wages cannot exceed 50% of total remuneration; any excess is treated as wages for PF, gratuity and bonus. The law does not say basic must be 50% of CTC, but structures far below that will see the excess added back.
What happens if an employee does not sign the appointment letter?
The employment still exists, but enforcing specific terms such as notice period or confidentiality becomes harder. Get the signed copy back on or before the joining date. E-signatures are valid under the Information Technology Act, 2000 for most employment documents, which helps with remote joiners.
