NOC from employer: what it is and how to write one

A No Objection Certificate (NOC) is a short letter on company letterhead in which the employer confirms who the employee is, names one specific purpose, and states that the organisation has no objection to it. A bank, embassy, passport office, university or new employer uses it to confirm two things at once: that the employment is real, and that the employer will not later dispute the action. It is a purpose specific document; a good NOC never grants open ended permission.

Government and PSU employees: the rules are stricter

Part time work and dual employment

No central law flatly bans a second job, but three things restrict it. First, almost every appointment letter prohibits outside employment or business without written consent, so working elsewhere without an NOC is a breach of contract and can be treated as misconduct. Second, section 30 of the Occupational Safety, Health and Working Conditions Code, 2020, which replaced the Factories Act, 1948 on 21 November 2025, bars a worker from working in a factory or mine if they have already worked in a similar establishment in the preceding twelve hours. Third, standing orders, which industrial establishments with 300 or more workers must have under the Industrial Relations Code, 2020, commonly treat outside employment that harms the employer's interest as misconduct. How to request an NOC from HR

  1. Check your appointment letter or HR policy for the NOC or outside employment clause and any bond.
  2. Write to HR (switch this tool to "Employee requests NOC from HR") stating the purpose, the recipient who needs it, the exact details to be included (designation, date of joining, passport number, travel or course dates) and the date by which you need it.
  3. Attach supporting documents: the offer letter, admission letter, visa appointment or itinerary, or loan application reference.
  4. Clear pending dues, return assets and complete handover if the NOC is for a job change; HR will usually not issue it before clearance.
  5. Follow up in writing if you do not hear back in a week. Private employers usually issue an NOC within a few working days; government offices work to their own timelines, so apply early.

What is an NOC from an employer?

What is the difference between an NOC, a relieving letter and a no dues certificate?
A relieving letter is a statement of fact that the employee was relieved on a given date. A no dues certificate confirms that money, assets and clearances have been settled. An NOC goes further: it states that the employer has no objection to the employee's next step, such as joining another company, and is usually issued for one named purpose. Many employers combine the relieving letter and the NOC into a single document at exit.
How long is an NOC valid?
There is no single statutory validity for private employer NOCs. The passport NOC (Annexure G, earlier Annexure M) is expressly valid for six months from the date of issue. Most embassies, banks and universities want a letter dated within the last three to six months, so an NOC should carry a clear issue date and, where useful, an explicit validity line. What must a NOC for passport (Annexure G) contain?
The Passport Seva format requires the ministry, department or office name, a reference number and date, the employee's name and father's or husband's name, the statement that the person is an Indian national employed in the office as a given designation from a given date till date, and the statement that the office has no objection to the person obtaining a passport. It must be signed by the controlling or administrative authority with name, stamp and telephone, fax or email for verification, the applicant's photograph must be attested with half the signature and stamp on the photograph, and it is valid for six months. Do government employees need an NOC to apply for another job?
Yes. Under the DoPT consolidated instructions on forwarding applications for outside employment (OM of 24 November 2022), a government servant applies through proper channel and the competent authority forwards the application or issues an NOC. Permanent employees may generally be allowed four opportunities in a year, applications from temporary employees are to be readily forwarded, and withholding must be justified in the public interest. Where the application was forwarded with an NOC, the eventual resignation is treated as a technical resignation, which protects past service benefits.
Can my employer refuse to give an NOC?
A private employer can decline because nothing compels issuance, although a refusal without a stated reason is unusual and most companies issue NOCs as part of exit or on request. For government servants, the competent authority can withhold an NOC only on justifiable grounds in the public interest, such as pending vigilance or disciplinary proceedings or a bond, as set out in the DoPT consolidated instructions. Always request the NOC in writing so that the request and any refusal are on record.
